End User License Agreement

This End User License Agreement (Agreement) is a legal and binding agreement between you (either an individual or a single entity) (You, Your, User, Licensee) and HorrorSound.Org (Owner, Licensor).
By downloading/using these “Products” for any purpose, the Licensee accepts this Agreement and agrees to be bound by the terms and conditions set out herein. 

1. DEFINITIONS 

"Products" refers to all audio samples, sound effects and sample packs provided by HorrorSound.Org, including their accompanying documentation and any updates, modified versions, upgrades, and new features. 

"License" means the license purchased and granted pursuant to this Agreement.
"Media Productions" means products that contain at least one additional media element to the sounds (e.g., music, voice, image, etc.), including but not limited to radio and television broadcasts, films, music compositions, websites, podcasts, mobile apps, advertising, multimedia presentations, video games, and similar projects. 

2. LICENSE GRANT 

HorrorSound.Org hereby grants you a non-exclusive, non- transferable, single-user, perpetual license to use the Products for your own personal and professional use. This includes the royalty- free use of all sounds in compositions such as songs, albums, records, remixes, commercials, jingles, video-games, production music libraries, post-productions, commissioned pieces, soundtracks for film, theatre, musicals, TV, and live performances. 

3. RIGHTS GRANTED 

You are granted the following rights:


a. install and use the Products on one of the Licenseeʼs workstations.

b. Make and keep backup copies of the Products on other storage devices
.

c. Distribute and publicly perform reproductions of the sounds where they are incorporated and synchronized with other media productions, including but not limited to radio and television broadcasts, films, music compositions, websites, podcasts, mobile apps, advertising, multimedia presentations, video-games, and similar projects, provided that the sounds are not distributed as isolated, downloadable files. 

4. RESTRICTIONS 

You are NOT permitted to:


a. Distribute or perform reproductions of the sounds where they are not incorporated and synchronized with other media productions.

b. Adapt, modify, or repackage any sounds, except as permitted in Clause 3.c.


c. Claim ownership or authorship of the sounds or Products
.

d. Sell, redistribute, sublicense, share, lease, loan, or distribute copies of the Products or their contents in any form, including raw or minimally modified sounds, except as part of a media production as outlined above.


e. Use the sounds in isolation in video game soundtracks, gaming machines, and/or toys without obtaining a separate written license from HorrorSound.Org


f. Create derivative works based on the Products or any part of them without prior written consent from HorrorSound.Org 

5. INTELLECTUAL PROPERTY RIGHTS 

All rights to the Products and the sounds are owned by HorrorSound.Org. Except for the license rights expressly granted herein, all rights in the Products remain the property of HorrorSound.Org. The Licensee must not claim ownership or authorship of the Products or the sounds. Additionally, the Licensee is not permitted to use the HorrorSound.Org name or logo without prior written permission from HorrorSound.Org 

6. PROHIBITION ON AI TRAINING 

The Licensee is expressly prohibited from using the sounds or Products to train artificial intelligence (AI) algorithms or machine learning models. This includes, but is not limited to:


a. Using the sounds or Products as data for training or refining AI algorithms. 

b. Incorporating the sounds or Products into datasets intended for AI or machine learning purposes.


c. Utilizing the sounds or Products in any way that contributes to the development, training, or improvement of AI systems or technologies.

HorrorSound.Org retains all rights to the sounds and Products, and any unauthorized use for AI training purposes will be considered a breach of this Agreement, resulting in immediate termination of the License and potential legal action. 

7. TERMINATION 

The Licensee's right to use the Products will automatically terminate if the Licensee breaches any terms of this Agreement. Upon termination, the Licensee must immediately cease all use of the Products and destroy all copies of the Products. HorrorSound.Org's rights and your obligations shall survive the termination of this license. 

8. MULTIUSER LICENSE 

Every product purchased com includes a single user license. If you need more licenses of a product, you need to buy a multi- user- license. Contact us at info at horrorsound dot org for more information. 

9. LIMITATION OF LIABILITY 

Under no circumstances shall HorrorSound.Org be liable for any damages, loss of business or business profits, business interruption, or any other direct or indirect loss resulting directly or indirectly from the use of any of the Products.

10. INDEMNITY 

You agree to indemnify and hold harmless HorrorSound.Org from any claims, damages, liabilities, costs and fees, including attorney fees, arising from your use of the Products, any defects in the Products, and any claims that the Products infringe or violate any rights of any third party. 

11. GENERAL 

This Agreement is governed by the laws of Italy, without regard to conflicts of laws principles. This Agreement constitutes the entire agreement between you and HorrorSound.Org regarding the Products and supersedes any prior agreements. Any modifications to this Agreement must be in writing and signed by both parties. If any provision of this Agreement is held invalid, the remainder of the Agreement will continue in full force and effect.
